1. DEFINITIONS AND INTERPRETATION
\r\n\r\n\r\n\r\n
1.1. The masculine gender includes the feminine and neuter, the singular number includes the plural and vice versa, and words importing persons include firms or companies. The section headings to the provisions are inserted for convenience of reference only and are not a part of, and do not or affect the construction or interpretation of, the Terms.
\r\n\r\n\r\n\r\n
1.2. The “Terms” means the terms and conditions set out in this document and such other terms and conditions as may be added to or substituted for them from time to time pursuant to these Terms.
\r\n\r\n\r\n\r\n
\r\n\r\n
1.3. The following expressions have the meanings given to them below:
\r\n\r\n\r\n\r\n
Account means a BIF account maintained by you (whether in sole or joint names) with us.
\r\n\r\nBusiness Day means a day on which we are open for general business.
\r\n\r\nCredit Union means IHelá Credit Union.
\r\n\r\nCU Online means the online system made available by us through our platforms for, broadly speaking, approximately 24 hours a day (subject to these Terms) to enable you to access and use the Online Services.
\r\n\r\nOnline Account means the online user account given to you so that you can access and use the Online Services through CU Online and which is accessed in accordance with your PIN, Password and Username. The Online Account is not a credit union financial account, but rather is a user account for accessing CU Online.
\r\n\r\nOnline Services means the services which we may provide and make available from CU Online from time to time, at our discretion, to you through your Online Account which may include allowing you to:
\r\n\r\nPassword means the password created by you as a part of the registration process for CU Online and which you need to access your Online Account, CU Online and the Online Services.
\r\n\r\nPIN means the personal identification number given to you as a part of the registration process for CU Online and which you need to access your Online Account, CU Online and the Online Services.
\r\n\r\nPrivacy Policy means the document we call our “Customer Privacy Policy” (or similar) which is published on our platforms from time to time.
\r\n\r\nUsername means the username for your Online Account which is created by you as a part of the registration process for CU Online and which you need to access your Online Account, CU Online and the Online Services.
\r\n\r\nWe mean IHelá Credit Union and cognate terms are constructed accordingly.
\r\n\r\nYou mean you in your capacity as the holder of an Account with us (and includes, as the context admits or requires, any person using the platform, the In-Branch Terminals or your Online Account and/or your personal representatives and successors).
\r\n\r\n\r\n\r\n
2. ABOUT US
\r\n\r\n\r\n\r\n
2.1. We own and operate the IHelá Ryanje platforms; and provide the services on and through them.
\r\n\r\n\r\n\r\n
2.2. We are IHelá Credit Union, a Credit Union. We are regulated by the Central Bank of Burundi.
\r\n\r\n\r\n\r\n
\r\n\r\n
3. THESE TERMS
\r\n\r\n\r\n\r\n
3.1. We provide and make available, and you use and access, all the platforms and financial services on them subject to these Terms.
\r\n\r\n\r\n\r\n
3.2. By browsing the website, registering for CU Online or accessing or using CU Online or the Online Service, or by downloading and/or installing the App, you agree to be bound by these Terms.
\r\n\r\n\r\n\r\n
\r\n\r\n
3.3. These Terms are separate and supplemental to any other agreement between you and us in relation, for instance, to (i) any of your Accounts with us; (ii) any loan taken out by you from us; (iii) our CU Online Terms; and (iv) our Privacy Statement, all of which you are also bound by where applicable. Your access and use of our platforms are always subject to these Terms.

3.4. We reserve the right to vary these Terms at any time. If we do so, the updated terms will be posted on the Terms page when the alteration is made. By using the platforms after that, you agree to the revised Terms.

3.5. None of these Terms will be interpreted to deprive you of any rights you may have under mandatory Burundian law.
\r\n\r\n\r\n\r\n
\r\n\r\n
4. USE OF OUR PLATFORMS
\r\n\r\n\r\n\r\n
4.1. Our platforms and all services on them are provided from Burundi.
\r\n\r\n\r\n\r\n
4.2. You can use the platforms for your personal use only.
\r\n\r\n\r\n\r\n
\r\n\r\n
4.3. Access to our platforms is permitted on a temporary basis, and we reserve the right to withdraw or amend the platforms or any services on them without notice. We are not liable if for any reason our platforms or any services on them are unavailable at any time or for any period.
\r\n\r\n\r\n\r\n
\r\n\r\n
4.4. We can restrict access to some parts or entire of our platforms or services on them to users who have successfully registered with us for relevant services.
\r\n\r\n\r\n\r\n
\r\n\r\n
4.5. You are responsible for making all arrangements necessary for you to have access to our platforms.
\r\n\r\n\r\n\r\n
\r\n\r\n
4.6. We may restrict you from linking to our platforms if we consider that a link is prejudicial to our interests.
\r\n\r\n\r\n\r\n
\r\n\r\n
4.7. While we may take precautions against security breaches, no website or Internet transmission is completely secure, and as such, you acknowledge that neither we nor third parties connected to us shall be liable for damages, costs or losses, that may result from interruption or interception of communications or unauthorized access or hacking. We cannot guarantee the privacy and security of such communications. This disclaimer applies even in circumstances where you access your Online Account, CU Online and the Online Services through our platforms.

4.8. Your mobile or internet provider may charge you network fees for the duration of your connection to the App.

5. IDENTIFICATION CREDENTIALS
\r\n\r\n5.1. Access to Online Services
\r\n\r\nTo access Online Services, enter an authorized user number or the username and a password. A Personal Identification Number (hereinafter referred to as “PIN”), is used to perform transactions once connected. If a PIN is forgotten or an incorrect PIN has been entered, the authorized user may change the PIN through the Online Services at any time using his/her password.

6. INFORMATION PURPOSES ONLY
\r\n\r\n\r\n\r\n
6.1. The content of the website is provided for information purposes only and is subject to change and will be updated from time to time without notice to you.

6.2. Websites and applications may be tampered with by unauthorized persons and, accordingly, you should view the information provided as indicative only and subject to confirmation by us.

7. INTELLECTUAL PROPERTY

7.1. We are the owner or the licensee of all intellectual property rights on the website, the App, the App’s and website’s content and the Online Services including the App’s and website's “look and feel” (collectively the “Content”). The Content is protected by copyright laws and other intellectual property laws (including laws related to trademarks, designs, database rights, sui generis rights and other proprietary rights). All such rights are reserved.

7.2. You may not make alterations, copies, extractions, modifications, or additions to the Content, or sell, copy, distribute, disseminate or license it, or misuse the Content in any way. If you want to re-publish, extract, reproduce, disseminate or otherwise use the Content, you must contact us in advance for written permission except if otherwise expressly provided in these Terms. This is without prejudice to any rights you may have under applicable mandatory law.

8.2. The inclusion of any link does not imply endorsement by us of any platform. Your use of third party platforms is subject to the terms and conditions of use and privacy policy contained within each of those platforms. We may terminate a link to a third party platform at any time.

9. IMPROPER USE OF OUR PLATFORMS
\r\n\r\n\r\n\r\n
9.1. You may not use our platforms in any manner that could damage, disable, overburden, or impair them, their servers, or the network(s) connected to the servers, or interfere with any other party’s use and enjoyment of the platforms and services on them.

9.2. You may not attempt to gain unauthorized access to any services, parts of the platforms, other accounts, computer systems or networks connected to any server through hacking, password mining or any other means.

9.3. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available to you.

9.4. Illegal and/or unauthorized use of the platforms or services on them will be investigated, and appropriate legal action will be taken.

10. DATA PROTECTION

10.1. We process information about you in accordance with our Customer Privacy Policy, which is available on all our platforms. By using our website, or downloading and/or installing our App, you consent to such processing, and you confirm that all data provided by you is accurate and up-to-date.

11. LIABILITY
\r\n\r\n\r\n\r\n
11.1. Use of our platforms is entirely at your own risk, and you assume full responsibility and risk of loss resulting from the use of, viewing, access to, relying on or downloading from the platforms and/or content.

11.2. You agree that we are not liable for loss or damages arising out of your use, or your inability to use our platforms or any services through them. Our platforms and Content on them is provided on an “as is” basis, and we make no undertaking, representation or warranty:

11.3. We are not liable to you for (i) any loss of income, business, revenue or profits; (ii) any loss or corruption of data; (iii) any corruption or damage to equipment; or (iv) any loss or damage which was not foreseeable to both you and us.

11.4. You are liable to us for any loss, damage or harm suffered or incurred by us as a result of your negligent, deliberate or reckless breach of these Terms.

12. EVENTS BEYOND OUR CONTROL

12.1. We are not in breach of these Terms or liable to you if there is any total or partial failure of performance of our duties and obligations resulting from any act or matter beyond our reasonable control. This may include where such results from any act of God, fire, act of government, war, civil commotion, insurrection, embargo, inability to communicate with third parties for whatever reason, failure of any computer dealing or settlement system, failure of or delay in the transmission of communications, prevention from or hindrance in obtaining any energy or other supplies, labor disputes of whatever nature, late or mistaken payment by an agent or any other reason (whether similar in kind to any of the above) beyond our reasonable control.

13. SEVERABILITY
\r\n\r\n\r\n\r\n
13.1. If, at any time, any provision of these Terms is or becomes illegal, invalid or unenforceable, that shall not affect or impair the legality, validity or enforceability of the remainder of these Terms (including the remainder of a provision where only part of it is or has become illegal, invalid or unenforceable).

14. WAIVER
\r\n\r\n\r\n\r\n
14.1. The exercise by us of our rights under these Terms is without prejudice to any of our other rights and remedies. The provisions of these Terms may only be waived by either of us in writing by express reference to the provision in question. No delay, neglect or forbearance on the part of either of us in enforcing any provision of these Terms is a waiver, or in any way prejudices any right of us under these Terms. A waiver by either of us of any breach of the provisions of these Terms does not constitute a general waiver of such provision or of any subsequent act contrary to it.

15. TRANSFERS
\r\n\r\n\r\n\r\n
15.1. These Terms are personal to you and may not be transferred or assigned to anyone else.

15.2. We may assign, transfer or otherwise dispose of all or any of our rights or obligations under these Terms, in whole or in part, by prior notice to you, provided that in doing so we do not materially prejudice your interests under these Terms.

16. ANNOUNCEMENTS ABOUT CHANGES OR UPDATES TO THESE TERMS

16.1. We may make announcements to you about changes or updates to these Terms, or any of our services. We may do this on our platforms, or by emailing you, text message (SMS) or using another communication technology.
\r\n\r\n16.2. If an announcement about Online Services has contractual (legally binding) terms relating to Online Services, these new or updated terms will be seen as being included in these (original) Terms. By continuing to use our Online Services, you agree to these changes.

17. ENTIRE AGREEMENT
\r\n\r\n\r\n\r\n
17.1. Subject to clause 3.2, these Terms represent the entire understanding of the parties concerning their subject, override and supersede all prior agreements concerning it (whether written, oral or implied) which are hereby revoked by our mutual consent. Neither of us has relied upon, or has, any remedies in respect of any representations, terms or conditions except those set out in these Terms. This does not exclude any liability for fraud and/or fraudulent misrepresentations.

18. GOVERNING LAW

18.1. The laws of Burundi apply to the Terms (and any matter or dispute arising out of or in connection with them) and the courts of Burundi have jurisdiction in connection with the Terms and all such matters and disputes.

\r\n\r\n17.1 Le genre masculin inclut le féminin et neutre et le nombre singulier comprend le pluriel et vice versa ; et les dispositions pour les personnes s’appliquent pour les compagnies et les entreprises. Les titres de section des dispositions sont insérés à titre de référence seulement et ne font pas partie et n'affectent pas la construction ou l'interprétation des Conditions.

\r\n\r\nMembre désigne un membre de IHelá Credit Union
\r\n\r\nCompte en ligne signifie le compte utilisateur en ligne qui vous est donné afin que vous puissiez accéder et utiliser les services en ligne et qui est accessible en fonction de votre code PIN, mot de passe et nom utilisateur - le compte en ligne n’est pas une caisse de compte financier mais plutôt un compte d'utilisateur pour accéder au service en ligne.
\r\n\r\nServices ligne désigne les services que nous pouvons fournir et mettre à votre disposition de Credit Union Online de temps à autre, à notre discrétion, à travers votre compte en ligne, ce qui peut inclure la permission de:
\r\n\r\nMot de passe signifie le mot de passe créé par toute personne comme une partie du processus d'inscription en ligne et dont vous avez besoin pour accéder votre compte en ligne.
\r\n\r\nPIN signifie le numéro d'identification personnel vous donné comme une partie du processus d'inscription en ligne et dont vous avez besoin pour accéder à votre compte en ligne.
\r\n\r\nDéclaration de confidentialité signifie le document que nous appelons notre « Déclaration de confidentialité » (ou similaire) qui est publié sur notre site de temps en temps.
\r\n\r\nNom d’utilisateur signifie le nom d’utilisateur pour votre compte en ligne qui est créé par vous en tant que partie du processus d'inscription en ligne et dont vous avez besoin pour accéder à votre compte en ligne.
\r\n\r\nConditions signifient les termes et conditions qui sont énoncés dans le présent document, ainsi que d’autres termes et conditions qui peuvent être ajoutés ou substitués de temps en temps conformément à ces conditions.

\r\n\r\nVous signifie vous en votre qualité de titulaire d'un compte avec nous (et comprend, selon le contexte ou l’exigence, toute personne utilise la plateforme, l'application, les terminaux en succursale ou votre compte en ligne et/ou vos représentants personnels et successeurs).

Please read these Terms and Conditions carefully. They govern your access and use of our platforms and services on them.

1. DEFINITIONS AND INTERPRETATION
\r\n\r\n\r\n\r\n
1.1. The masculine gender includes the feminine and neuter, the singular number includes the plural and vice versa, and words importing persons include firms or companies. The section headings to the provisions are inserted for convenience of reference only and are not a part of, and do not or affect the construction or interpretation of, the Terms.
\r\n\r\n\r\n\r\n
1.2. The “Terms” means the terms and conditions set out in this document and such other terms and conditions as may be added to or substituted for them from time to time pursuant to these Terms.

1.3. The following expressions have the meanings given to them below:
\r\n\r\n\r\n\r\n
Account means a BIF account maintained by you (whether in sole or joint names) with us.
\r\n\r\nBusiness Day means a day on which we are open for general business.
\r\n\r\nCredit Union means IHelá Credit Union.
\r\n\r\nCU Online means the online system made available by us through our platforms for, broadly speaking, approximately 24 hours a day (subject to these Terms) to enable you to access and use the Online Services.
\r\n\r\nOnline Account means the online user account given to you so that you can access and use the Online Services through CU Online and which is accessed in accordance with your PIN, Password and Username. The Online Account is not a credit union financial account, but rather is a user account for accessing CU Online.
\r\n\r\nOnline Services means the services which we may provide and make available from CU Online from time to time, at our discretion, to you through your Online Account which may include allowing you to:
\r\n\r\nPassword means the password created by you as a part of the registration process for CU Online and which you need to access your Online Account, CU Online and the Online Services.
\r\n\r\nPIN means the personal identification number given to you as a part of the registration process for CU Online and which you need to access your Online Account, CU Online and the Online Services.
\r\n\r\nPrivacy Policy means the document we call our “Customer Privacy Policy” (or similar) which is published on our platforms from time to time.
\r\n\r\nUsername means the username for your Online Account which is created by you as a part of the registration process for CU Online and which you need to access your Online Account, CU Online and the Online Services.
\r\n\r\nWe mean IHelá Credit Union and cognate terms are constructed accordingly.
\r\n\r\nYou mean you in your capacity as the holder of an Account with us (and includes, as the context admits or requires, any person using the platform, the In-Branch Terminals or your Online Account and/or your personal representatives and successors).
\r\n\r\n\r\n\r\n
2. ABOUT US
\r\n\r\n\r\n\r\n
2.1. We own and operate the IHelá Ryanje platforms; and provide the services on and through them.
\r\n\r\n\r\n\r\n
2.2. We are IHelá Credit Union, a Credit Union. We are regulated by the Central Bank of Burundi.
\r\n\r\n\r\n\r\n
\r\n\r\n
3. THESE TERMS
\r\n\r\n\r\n\r\n
3.1. We provide and make available, and you use and access, all the platforms and financial services on them subject to these Terms.
\r\n\r\n\r\n\r\n
3.2. By browsing the website, registering for CU Online or accessing or using CU Online or the Online Service, or by downloading and/or installing the App, you agree to be bound by these Terms.
\r\n\r\n\r\n\r\n
\r\n\r\n
3.3. These Terms are separate and supplemental to any other agreement between you and us in relation, for instance, to (i) any of your Accounts with us; (ii) any loan taken out by you from us; (iii) our CU Online Terms; and (iv) our Privacy Statement, all of which you are also bound by where applicable. Your access and use of our platforms are always subject to these Terms.

3.4. We reserve the right to vary these Terms at any time. If we do so, the updated terms will be posted on the Terms page when the alteration is made. By using the platforms after that, you agree to the revised Terms.

3.5. None of these Terms will be interpreted to deprive you of any rights you may have under mandatory Burundian law.
\r\n\r\n\r\n\r\n
\r\n\r\n
4. USE OF OUR PLATFORMS
\r\n\r\n\r\n\r\n
4.1. Our platforms and all services on them are provided from Burundi.
\r\n\r\n\r\n\r\n
4.2. You can use the platforms for your personal use only.
\r\n\r\n\r\n\r\n
\r\n\r\n
4.3. Access to our platforms is permitted on a temporary basis, and we reserve the right to withdraw or amend the platforms or any services on them without notice. We are not liable if for any reason our platforms or any services on them are unavailable at any time or for any period.
\r\n\r\n\r\n\r\n
\r\n\r\n
4.4. We can restrict access to some parts or entire of our platforms or services on them to users who have successfully registered with us for relevant services.

4.5. You are responsible for making all arrangements necessary for you to have access to our platforms.
\r\n\r\n\r\n\r\n
\r\n\r\n
4.6. We may restrict you from linking to our platforms if we consider that a link is prejudicial to our interests.

\r\n\r\n
4.7. While we may take precautions against security breaches, no website or Internet transmission is completely secure, and as such, you acknowledge that neither we nor third parties connected to us shall be liable for damages, costs or losses, that may result from interruption or interception of communications or unauthorized access or hacking. We cannot guarantee the privacy and security of such communications. This disclaimer applies even in circumstances where you access your Online Account, CU Online and the Online Services through our platforms.

4.8. Your mobile or internet provider may charge you network fees for the duration of your connection to the App.

5. IDENTIFICATION CREDENTIALS
\r\n\r\n5.1. Access to Online Services
\r\n\r\nTo access Online Services, enter an authorized user number or the username and a password. A Personal Identification Number (hereinafter referred to as “PIN”), is used to perform transactions once connected. If a PIN is forgotten or an incorrect PIN has been entered, the authorized user may change the PIN through the Online Services at any time using his/her password.

6. INFORMATION PURPOSES ONLY
\r\n\r\n\r\n\r\n
6.1. The content of the website is provided for information purposes only and is subject to change and will be updated from time to time without notice to you.
\r\n\r\n\r\n\r\n
6.2. Websites and applications may be tampered with by unauthorized persons and, accordingly, you should view the information provided as indicative only and subject to confirmation by us.

7. INTELLECTUAL PROPERTY

7.1. We are the owner or the licensee of all intellectual property rights on the website, the App, the App’s and website’s content and the Online Services including the App’s and website's “look and feel” (collectively the “Content”). The Content is protected by copyright laws and other intellectual property laws (including laws related to trademarks, designs, database rights, sui generis rights and other proprietary rights). All such rights are reserved.

7.2. You may not make alterations, copies, extractions, modifications, or additions to the Content, or sell, copy, distribute, disseminate or license it, or misuse the Content in any way. If you want to re-publish, extract, reproduce, disseminate or otherwise use the Content, you must contact us in advance for written permission except if otherwise expressly provided in these Terms. This is without prejudice to any rights you may have under applicable mandatory law.

8.2. The inclusion of any link does not imply endorsement by us of any platform. Your use of third party platforms is subject to the terms and conditions of use and privacy policy contained within each of those platforms. We may terminate a link to a third party platform at any time.

9. IMPROPER USE OF OUR PLATFORMS
\r\n\r\n\r\n\r\n
9.1. You may not use our platforms in any manner that could damage, disable, overburden, or impair them, their servers, or the network(s) connected to the servers, or interfere with any other party’s use and enjoyment of the platforms and services on them.

9.2. You may not attempt to gain unauthorized access to any services, parts of the platforms, other accounts, computer systems or networks connected to any server through hacking, password mining or any other means.

9.3. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available to you.

9.4. Illegal and/or unauthorized use of the platforms or services on them will be investigated, and appropriate legal action will be taken.

10. DATA PROTECTION

10.1. We process information about you in accordance with our Customer Privacy Policy, which is available on all our platforms. By using our website, or downloading and/or installing our App, you consent to such processing, and you confirm that all data provided by you is accurate and up-to-date.

11. LIABILITY
\r\n\r\n\r\n\r\n
11.1. Use of our platforms is entirely at your own risk, and you assume full responsibility and risk of loss resulting from the use of, viewing, access to, relying on or downloading from the platforms and/or content.

11.2. You agree that we are not liable for loss or damages arising out of your use, or your inability to use our platforms or any services through them. Our platforms and Content on them is provided on an “as is” basis, and we make no undertaking, representation or warranty:

11.3. We are not liable to you for (i) any loss of income, business, revenue or profits; (ii) any loss or corruption of data; (iii) any corruption or damage to equipment; or (iv) any loss or damage which was not foreseeable to both you and us.

11.4. You are liable to us for any loss, damage or harm suffered or incurred by us as a result of your negligent, deliberate or reckless breach of these Terms.

12. EVENTS BEYOND OUR CONTROL

12.1. We are not in breach of these Terms or liable to you if there is any total or partial failure of performance of our duties and obligations resulting from any act or matter beyond our reasonable control. This may include where such results from any act of God, fire, act of government, war, civil commotion, insurrection, embargo, inability to communicate with third parties for whatever reason, failure of any computer dealing or settlement system, failure of or delay in the transmission of communications, prevention from or hindrance in obtaining any energy or other supplies, labor disputes of whatever nature, late or mistaken payment by an agent or any other reason (whether similar in kind to any of the above) beyond our reasonable control.

13. SEVERABILITY
\r\n\r\n\r\n\r\n
13.1. If, at any time, any provision of these Terms is or becomes illegal, invalid or unenforceable, that shall not affect or impair the legality, validity or enforceability of the remainder of these Terms (including the remainder of a provision where only part of it is or has become illegal, invalid or unenforceable).

14. WAIVER
\r\n\r\n\r\n\r\n
14.1. The exercise by us of our rights under these Terms is without prejudice to any of our other rights and remedies. The provisions of these Terms may only be waived by either of us in writing by express reference to the provision in question. No delay, neglect or forbearance on the part of either of us in enforcing any provision of these Terms is a waiver, or in any way prejudices any right of us under these Terms. A waiver by either of us of any breach of the provisions of these Terms does not constitute a general waiver of such provision or of any subsequent act contrary to it.

15. TRANSFERS
\r\n\r\n\r\n\r\n
15.1. These Terms are personal to you and may not be transferred or assigned to anyone else.

15.2. We may assign, transfer or otherwise dispose of all or any of our rights or obligations under these Terms, in whole or in part, by prior notice to you, provided that in doing so we do not materially prejudice your interests under these Terms.

16. ANNOUNCEMENTS ABOUT CHANGES OR UPDATES TO THESE TERMS
\r\n\r\n\r\n\r\n
16.1. We may make announcements to you about changes or updates to these Terms, or any of our services. We may do this on our platforms, or by emailing you, text message (SMS) or using another communication technology.
\r\n\r\n16.2. If an announcement about Online Services has contractual (legally binding) terms relating to Online Services, these new or updated terms will be seen as being included in these (original) Terms. By continuing to use our Online Services, you agree to these changes.

17. ENTIRE AGREEMENT
\r\n\r\n\r\n\r\n
17.1. Subject to clause 3.2, these Terms represent the entire understanding of the parties concerning their subject, override and supersede all prior agreements concerning it (whether written, oral or implied) which are hereby revoked by our mutual consent. Neither of us has relied upon, or has, any remedies in respect of any representations, terms or conditions except those set out in these Terms. This does not exclude any liability for fraud and/or fraudulent misrepresentations.

18. GOVERNING LAW
\r\n\r\n\r\n\r\n
18.1. The laws of Burundi apply to the Terms (and any matter or dispute arising out of or in connection with them) and the courts of Burundi have jurisdiction in connection with the Terms and all such matters and disputes.
